General terms
Carletti A/S (hereinafter “Carletti”, “we” or “us”) is a company registered in Denmark and our registered office is at Grenåvej 641, 8541 Skødstrup, Denmark. Our VAT number is 89563518 and we operate the website carletti.com.
These terms and conditions (hereinafter the "Terms") apply to the order by you and supply of products by us to you.
These Terms apply in addition to the trade agreement for the supply of products at any given time between you and Carletti. In case of conflict between these Terms and your trade agreement the trade agreement takes precedence. If you do not have a trade agreement with Carletti, these Terms apply.
Ordering and Payment
You may place an order for products through our webshop by selecting the products you wish to purchase, and completing the checkout process. Please check the order carefully before confirming it. You are responsible for ensuring that your order is complete and accurate. Once you have placed an order, we will send you an email acknowledging receipt of your order. Please note that this email receipt does not constitute acceptance of your order.
Our acceptance of your order takes place when we send an email to you accepting the order, at which point a contract between you and us regarding the supply of the ordered products will come into existence and subject to these Terms.
We reserve the right to refuse or cancel any order at any time, for any reason. In the event that we cancel your order, we will notify you by email and refund any payment made by you.
Payment for products purchased through our webshop must be made in accordance with the payment methods available on our webshop. We reserve the right to change our payment methods at any time, without notice. Credit payment is only possible for customers who have been through the credit application flow and accepted for credit payment.
Delivery and shipping
Products purchased through our webshop will be delivered to you in accordance with the selected shipping method. We will provide you with an estimated delivery date based on the shipping method selected at checkout. We will do our best to deliver within the estimated delivery dates, however, these delivery dates are estimates only and delays may occur. We are not liable for delays, including delays in delivery caused by third-party carriers.
Shipment of webshop orders delivered by third party carriers is only possible to countries within the EU (Plus UK, Norway and Switzerland). For shipment to other destinations, please contact ecommerce@carletti.dk
Shipping costs will be calculated at checkout and may vary based on the shipping destination, shipping method, and the weight and dimensions of the products purchased.
Standard delivery – As standard you can select DAP delivery, with the fastest possible delivery date. Carletti A/S do not have own transportation equipment, and goods will therefore be handled by third-party carrier. Therefore, Carletti A/S will not be responsible for delays or damages during the transportation.
Pick-up – If you select EX-Works as shipment method in the checkout, you will be responsible for booking and ensuring that the goods are picked up within the agreed timeslot selected in the checkout.
Delivery is complete once the products have been collected by you or a third-party carrier and the products will be at your risk from that time.
You own the products once we have received payment in full, including of all applicable delivery charges.
[If you chose to pick-up the products and if you fail to take delivery within [5 calendars days] after the day on which we notified you that the products were ready for delivery, we may resell part of, or all the products. We shall repay you the price you paid for the products after deducting reasonable storage, insurance and selling costs and any shortfall between the resale price and the price you paid for the products.]
Returns
Carletti do not offer return for products purchased through our webshop. Carletti only supplies goods to companies and other legal entities that act as part of their profession and therefore, your purchase can only be returned if there is a defect.
Our warranty for the products
The products are intended for use and consumption only in the EU. We do not warrant that the products comply with the laws, regulations or standards outside the EU.
We provide a warranty that on delivery, the products will conform in all material respects with their description on the website and be of satisfactory quality. Subject to following clause, if: (i) you give us notice in writing within a reasonable time of discovery that some or all of the products do not comply with this warranty, (ii) you provide us sufficient documentation to that effect or we are given a reasonable opportunity of examining the products; and (iii) we ask you to do so, you return the products to us at your cost (which we will refund in case the products are defective), we will, at our option, replace the defective products, or give you a proportionate discount in the price, or refund the price of the defective products in full. These remedies are the only remedies in case of defective products, and under no circumstances will we be liable to you for: (i) any loss of profits, sales, business, or revenue, or (ii) any indirect or consequential loss.
We will, however, not be liable for breach of the warranty set out above, if the defect arises as a result of wrongful delivery, willful damage, negligence, or abnormal storage or working conditions for which we are not responsible.
Except as expressly stated in these Terms, we do not give any representations, warranties or undertakings in relation to the products. Any representation, condition or warranty which might be implied or incorporated into these Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law.
These Terms also apply to any replacement products supplied by us to you.

Please provide elaborated material such as description and images of the defect or damaged products. Please Note that products must be returned in their original packaging.
Disclaimer
Carletti assumes no responsibility for the accuracy of information, including in the form of price increases, key errors, sold out or expired items. Carletti cannot guarantee that the webshop operates flawlessly at all times and cannot be held responsible for any disruptions, downtime etc.
Changes
Carletti reserves the right to change these Terms and product pricing without notice.
These Terms are governed by Danish law (excluding CISG and without giving effect to principles of conflict of laws) and each party irrevocably agrees to submit all disputes arising out of or in connection with these Terms to the exclusive jurisdiction of the Danish courts.
